T-CURX Acquires Pantherna Therapeutics to Advance In Vivo CAR-T Development

T-CURX has signed a definitive agreement to acquire Pantherna Therapeutics, bringing together two German biotechnology companies with complementary technologies in CAR-T cell therapy, mRNA engineering, and LNP delivery. Pantherna will continue to operate under its existing name as a wholly owned subsidiary of T-CURX.

The acquisition is intended to accelerate the clinical translation of in vivo CAR-T therapies, an emerging approach that aims to engineer immune cells directly inside the body rather than through traditional ex vivo cell manufacturing. By combining T-CURX’s proprietary non-viral, transposon-based CAR-T platform with Pantherna’s PTXmRNA and PTXΔLNP technologies, the company aims to create an integrated engine for both stable and transient immune-cell engineering.

T-CURX said the transaction positions it as the first European biotech company with both proprietary CAR-T and LNP technologies under one roof. The combined platform is expected to support the full value chain from discovery to clinical development, with a focus on differentiated next-generation CAR-T products.

Pantherna brings expertise in mRNA engineering and lipid nanoparticle delivery, capabilities that are increasingly important for in vivo cell therapy. LNP-based delivery of mRNA or DNA vectors may allow CAR-T therapies to be generated directly in patients, potentially reducing manufacturing complexity, shortening development timelines, and expanding CAR-T applications beyond oncology.

According to T-CURX, the acquisition builds on a successful prior technology collaboration and preclinical validation of the companies’ combined technologies. The integration is expected to help advance T-CURX’s in vivo CAR-T assets into clinical trials approximately one year earlier than previously planned.

The combined company will have approximately 35 employees and a portfolio of 16 patent families covering its technologies and assets. T-CURX recently closed a $20.5 million Series A financing at the end of 2025 and is backed by private investors and an international syndicate of biotech investors. Pantherna’s existing private investors and High-Tech Gründerfonds will become new shareholders of T-CURX.

The acquisition reflects broader momentum in the cell therapy field toward in vivo immune-cell engineering, where delivery technology is becoming central to product differentiation. If successful, integrated CAR-T and LNP platforms could help move CAR-T therapy beyond individualized manufacturing and toward more scalable, programmable treatment approaches across cancer and other diseases.
